1. Acceptance of Terms

By downloading, installing, creating an account, or using any part of the PHD Weight Loss® App (“App”), you acknowledge that you have read, understood, and agree to be bound by this End User License Agreement and Terms & Conditions (“Agreement”).
If you do not agree, do not download or use the App.

2. License Grant and Scope

PHD grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the App solely for your personal, non-commercial health-management purposes and only in accordance with this Agreement.

You may not:
a. Copy, distribute, sell, resell, rent, lease, sublicense, or otherwise exploit any portion of the App or its content;
b. Reverse-engineer, decompile, disassemble, or otherwise attempt to derive source code;
c. Use the App for any unlawful or unauthorized purpose; or
d. Circumvent, disable, or interfere with security-related features or usage-tracking systems.

3. Program Access and Tiers

Your App access may correspond to specific PHD Weight Loss® programs:

• Signature Program (1:1 coaching with food included)

• Weight Loss 360 Program (asynchronous guidance without coaching or food)

• Lifestyle Integration Phase (post-program maintenance support)

Access level and available content depend on your active subscription and compliance with program rules.

4. Eligibility and User Conduct

You must be at least 18 years old and legally capable of entering into binding contracts.
You agree not to:

• Misrepresent identity or provide false information;

• Upload or transmit harmful code or offensive material;

• Harass, threaten, or defame others within community or chat features;

• Share login credentials; or

• Attempt to gain unauthorized access to PHD systems or data.

Violation may result in immediate suspension or termination.

5. Payments, Renewals, and Cancellations

a. Subscription Billing: Following any free-trial period, paid access renews automatically every four weeks unless canceled.
b. Payment Methods: Payments are processed through integrated gateways including Stripe, GoHighLevel, MindBody, or app-store billing.
c. No Refunds: All fees are non-refundable. You are responsible for the full cost of your program regardless of outcomes or early termination.
d. Cancellation: Thirty (30) days’ written notice required prior to the next billing cycle to end auto-renewal.
e. Payment Failure: Declined or failed payments may result in temporary service suspension until the issue is resolved.
f. Modifications: PHD may adjust pricing or terms with notice. Continued use after notice constitutes acceptance.

6. Health and Medical Disclaimer

PHD Weight Loss® employees are not medical doctors or psychologists. The App, its educational content, and any coaching information are for general wellness education only and are not medical advice, diagnosis, or treatment.

Always consult your licensed healthcare provider before starting or changing any weight-loss, exercise, or nutrition program or adjusting medication dosages.
You assume all risk for your participation.

7. Individual Results Disclaimer

Outcomes vary by individual and depend on numerous factors including biology, adherence, effort, and behavioral consistency.
PHD Weight Loss® makes no guarantee of specific weight-loss or health results. Testimonials are illustrative only.

8. Intellectual Property

All content within the App—including software, graphics, trademarks, text, recipes, educational modules, and proprietary methods—is the exclusive property of PHD Weight Loss®, LLC and protected by copyright, trademark, and other intellectual-property laws.

You acquire no ownership rights. You may not copy, reproduce, distribute, display, or create derivative works without prior written consent from PHD.

9. Data Collection and Privacy

The App may collect personal data (including health-related information) to deliver coaching services, improve functionality, and personalize your experience. Data may be shared internally among PHD Weight Loss® staff and systems but not sold to third parties.

Your use of the App is also governed by our Privacy Policy, available at [PHD Weight Loss Privacy Policy URL].
By using the App, you consent to such data practices.

10. Termination and Suspension

PHD may terminate or suspend your license and account, without refund, if you:
a. Violate this Agreement or applicable law;
b. Fail to pay subscription fees; or
c. Engage in conduct detrimental to the App or its community.

Upon termination, you must cease all use of the App and delete all copies. Termination does not waive obligations already accrued.

11. Limitation of Liability

To the fullest extent permitted by law, PHD Weight Loss®, LLC and its affiliates, employees, and agents shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to loss of profits, data, or goodwill.

PHD’s total aggregate liability arising from or related to your use of the App shall not exceed the total amount paid by you to PHD in the preceding twelve (12) months.

12. Indemnification

You agree to defend, indemnify, and hold harmless PHD Weight Loss®, LLC, its officers, employees, contractors, and affiliates from any claims, liabilities, damages, losses, or expenses (including attorneys’ fees) arising out of your breach of this Agreement or misuse of the App.

13. Dispute Resolution and Arbitration

Any dispute or claim arising out of or relating to this Agreement shall first be addressed through good-faith negotiation.
If unresolved, the dispute shall be settled by binding arbitration in North Carolina, conducted under the rules of the American Arbitration Association.

You waive the right to a jury trial or to participate in any class or representative proceeding. Each party bears its own attorneys’ fees unless the arbitrator awards otherwise.

14. Governing Law

This Agreement and any dispute arising hereunder shall be governed by and construed in accordance with the laws of the State of North Carolina, USA, without regard to its conflict-of-laws principles.

15. Modifications to Agreement

PHD may modify this Agreement at any time by posting an updated version within the App or on our website.
Continued use after changes become effective constitutes your acceptance of the revised terms.

16. Severability

If any provision of this Agreement is held unenforceable, the remaining provisions will continue in full force and effect.

17. Entire Agreement

This Agreement, together with the PHD Weight Loss® Privacy Policy, constitutes the entire understanding between you and PHD Weight Loss®, LLC concerning your use of the App and supersedes all prior or contemporaneous agreements, representations, or understandings.
